AI assistant output may be incomplete or incorrect and must be independently reviewed before use.
You retain rights to your data, and you grant us rights needed to operate the Services.
We may suspend or terminate access for misuse, security concerns, or legal requirements.
The service is provided on an as-is basis to the extent permitted by law.
Liability is limited to the maximum extent permitted by law.

Terms of Use#

These Terms of Use govern your access to and use of Trac’s websites, applications, and related services (collectively, the Services). By using the Services, you agree to these Terms.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and in that case “you” includes both you and that organization.

These Terms are between you and TKO SOLUTIONS L.L.C (doing business as “Trac”) (“Trac”, “we”, “our”, or “us”).

Eligibility and account registration#

You must be legally able to enter into a binding agreement to use the Services. You agree to provide accurate account information and keep it up to date.

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

Acceptable use#

You agree not to:

Access or use the Services in violation of law.
Attempt to gain unauthorized access to systems, accounts, or data.
Interfere with the integrity or performance of the Services.
Reverse engineer, scrape, or misuse the Services except as allowed by law.
Use the Services to transmit malicious code or harmful content.

No financial advice#

Trac is a portfolio management platform designed for family offices and multi-family offices. Unless otherwise expressly stated in a written agreement signed by Trac, the Services are provided for information management and operational support only and do not constitute financial, investment, tax, accounting, legal, or other professional advice.

You are solely responsible for evaluating and verifying any information from the Services before making decisions, including investment, allocation, trading, tax, compliance, reporting, or other financial decisions.

AI assistant and automated outputs#

The Services may include an LLM-backed assistant and other automated features. These outputs may contain errors, omissions, outdated information, bias, or content that does not reflect your circumstances.

You acknowledge and agree that:

Automated outputs are provided for convenience only and are not professional advice.
You are solely responsible for independent review, verification, and suitability assessment before relying on any output.
Trac is not responsible for actions taken or not taken based on automated outputs, including any financial loss, missed opportunity, tax consequence, compliance issue, or other damages, to the maximum extent permitted by law.

User content and data#

As between you and Trac, you retain ownership of content and data you submit to the Services (User Content). You grant Trac a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Content as needed to provide, secure, and improve the Services and to comply with legal obligations.

You represent that you have all rights and permissions necessary to submit User Content and to authorize Trac’s processing of that content.

You are responsible for the completeness, correctness, timeliness, and legal permissibility of User Content, including portfolio records and transaction data. Trac does not guarantee the accuracy of User Content entered by you, your agents, third parties, integrations, or automated imports.

Privacy#

Your use of the Services is also governed by our Privacy Policy. If these Terms conflict with obligations in an applicable written agreement between you and Trac, the written agreement controls to the extent of the conflict.

Intellectual property#

The Services, including software, design, trademarks, and related content, are owned by Trac or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

Third-party services#

The Services may include integrations or links to third-party services. Trac is not responsible for third-party services, content, or policies.

Suspension and termination#

We may suspend or terminate your access to the Services, with or without notice as permitted by law, if:

You violate these Terms.
Your use poses a security or legal risk.
We are required to do so by law.

You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including sections regarding ownership, disclaimers, limitations of liability, indemnity, and dispute terms.

Minimum age#

You must be at least 16 years old to use the Services.

If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian, and they are responsible for your use to the extent permitted by law. For enterprise and advisor-led environments, we recommend that account owners and administrators be 18 or older.

Disclaimers#

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

Limitation of liability#

To the maximum extent permitted by law, Trac and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, or use, arising out of or in connection with the Services or these Terms.

To the maximum extent permitted by law, Trac’s aggregate liability for claims arising out of or relating to the Services or these Terms will not exceed the amounts paid by you (if any) for the Services in the 12 months before the event giving rise to the claim.

Without limiting the foregoing, Trac is not liable for losses relating to investment outcomes, tax treatment, valuation changes, market movements, data entry errors by users or third parties, or reliance on AI assistant or other automated outputs, except where liability cannot be excluded under applicable law.

Indemnification#

You agree to defend, indemnify, and hold harmless Trac and its affiliates, officers, employees, agents, suppliers, and licensors from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, User Content, or violation of these Terms.

Changes to the services and terms#

We may modify the Services or these Terms from time to time. If we make material changes, we will provide notice as required by law. By continuing to use the Services after changes take effect, you agree to the updated Terms.

Governing law and disputes#

If you are subject to a separate written agreement with Trac that includes governing law, venue, arbitration, or dispute terms, that agreement controls. Otherwise, disputes will be resolved in accordance with applicable law and the mandatory consumer protections of your jurisdiction.

Subject to the paragraph above and to non-waivable rights under applicable law, these Terms are governed by the laws of the State of Utah, without regard to its conflict of laws principles, and disputes will be brought in courts located in Utah.
